This study aimed to develop a proposal to invest in the intellectual capital at Yemeni Universities in the light of knowledge management .Due to the nature of the research, the descriptive documentary and developmental method was used .The researcher showed the philosophical and intellectual basis of the knowledge management approach, illustrated the conceptual framework of the intellectual capital at Yemeni Universities, clarified the role of intellectual capital investment and identified the requirements of the intellectual capital at Yemeni Universities in the light of knowledge management.

The study concluded with suggesting a proposal in the intellectual capital investment in Yemeni Universities in the light of knowledge management .The research addressed four axes in the research ,which are Theoretical background of knowledge management ,theoretical background of intellectual capital in Universities ,theoretical background of investing the intellectual capital in Universities ,and the role of universities in investing the intellectual capital in respective of the knowledge management processes.
