الملخص الإنجليزي

The scholars disagree about the importance of allocating a commercial law to regulate commercial acts and distinguish them from civil acts, led to a disagreement and discrepancy between court rulings, so some countries intervened and issued a commercial law to be applied to commercial acts and other countries remained on the mixed system that regulate all commercial and civil acts with one law, which is the Civil law .

The countries that adopted the business separation system faced problems and challenges with regard to classifying and defining businesses, because business is unstable and renewed according to the development of society, trade methods, methods of contracting by modern means and changing of commercial custom internationally and locally.

These challenges showed a lack of comprehensive commercial law for all of its elements, which made the judiciary intervene to fill the deficiency through the court decisions which established new legal rules (judicial precedents).

This research deals with the situation in the Saudi, Sudanese and Omani legal systems, discussed court rulings in the three countries and presented important results and recommendations to achieve openness and development in the trading system without restricting the work of the courts.

The distinction between commercial and civil businesses has important implications for legal systems, such as separating the commercial judiciary from the civil judiciary, adopting new legal rules such as freedom of proof, solidarity of debtors with a commercial debt, bankruptcy, dealing with insolvent gently and giving them an opportunity to repay his debt, expedited enforcement, and the Sudanese judiciary Through it’s long career in subjecting commercial businesses to civil rules, it did not reap a tangible benefit , because Neither civil businesses benefited from the speed of commercial legal rules nor the business benefited from the scrutiny and stringency of evidence present in civil legal rules.

On the contrary, lawsuits piled up before civil courts and investment was disrupted In the country.

The researcher supports the enactment of a commercial law to be applied to commercial businesses for some benefits, the most important of which is to reduce the crowding in civil courts and to give commercial cases opportunities to adjudicate them faster ,so that the capital returns to the market after few time of suing.
