In view of the successive developments that occurred in recent years in various aspects of economic, industrial and commercial activity, which called for the widespread use of so-called pre-contract documents or pre-contract agreements.

(Les Avant - contracts), including the letter of intent subject of the study, in front of the diversity and variance of these documents in terms of form and content, and the ambiguity and ambiguity they experience due to the ence of legal rules or legislative regulation dedicated to them.

This led the legal jurisprudence to say that the idea of a letter of intent is one of the vague, ambiguous and indeterminate ideas.

Sometimes the letter is limited to a preliminary declaration by the parties about their desire to enter into talks or discussions about a contractual process, and at other times the letter includes setting the detailed framework related to the organization of negotiations.

In itself, and in other cases where the letter of intent goes deeper, it includes the agreement on the general conditions as well as some issues related to the contract to be concluded.

This study came to shed light on the most important legal problems related to it or arising from it, in particular the legal basis, effects and obligations arising from it, as well as the nature of civil liability that is achieved when it is breached.
