The study aimed to shed light on the principles of corporate governance and its role in developing risk management at the national water company in Jeddah governorate.to achieve the objectives of this study ; the researcher used the descriptive analytical approach due to its suitability to the nature of the study.

considering that it belongs to the descriptive studies, the questionnaire tool was used in order to identify the role of governance in developing risk management in the national water company in Jeddah governorate.

the study population consists of all the administrators working in the management of the national water company in Jeddah governorate, whose number is (156) managers (national water-human resources).

where a sample was taken from that community ; using the simple random sample method from the total population, the sample of the study is some administrators working in the management of the national water company in Jeddah governorate, whose size is estimated at (111) administrative employees.

the study reached many results, the most important of which is the absence of statistically significant differences in the averages of the opinions of the current study sample members towards the level of application of the principles of governance in the national water company according to the gender variable.

there are statistically significant differences towards the level of effectiveness of risk management in the company according to the gender variable.

there are also statistically significant differences in the averages of the opinions of the members of the current study sample towards the level of application of the principles of governance and the level of effectiveness of risk management in the national water company according to the variable of age.

the study also found that there are no statistically significant differences towards the level of application of governance principles and the effectiveness of risk management in the national water company according to the educational level variable.

also, there are no statistically significant differences in the averages of the opinions of the members of the current study sample towards the level of application of the principles of governance and the effectiveness of risk management in the national water company according to the variable of the nature of work.

the study also indicated that there are statistical differences in the averages of the opinions of the members of the current study sample towards the level of application of the principles of governance and the level of effectiveness of risk management in the national water company according to the variable of years of experience.

there is a statistically significant effect of applying the principles of corporate governance in the national water company in improving the ability to assess risks.

there is also a statistically significant effect of applying the principles of corporate governance in the national water company in improving response to risks.

the study recommends ; the need to promote and introduce a culture of governance in the national water company in Jeddah governorate, and the development of the supervisory role is important to stress the need to improve risk management and apply the principles of sound administrative governance.

further studies and research should be conducted on governance and its role in developing risk management to deepen and understand its importance.
