Dealing with banking risk is the essence of credit operations.In order to ensure the success of credit operations and the coverage of their risks, banking management must follow a range of means and procedures to achieve this.

Management efficiency is often measure by the success and effectiveness of its credit operations.

These means are represent by activating the supervisory role on banking management and its activities continuously, following the rules of good governance to conduct its activities and credit transactions, and taking the necessary procedures and controls to make the credit decision according to sound and sound basis.

The contemplator of these legal rules finds them in one way or another trying to lay the groundwork for their ultimate purpose to save the bank credit risk as one of the most important banking activities.

This research aims to highlight the role of banking governance in minimizing or avoiding the risks of granting credit.

And the effectiveness of legal rules in Iraqi law to achieve this purpose.
