The establishment of any institution requires the availability of many financial resources, material and human, and perhaps (resource) the human element is the most important element in the institution, which determines the fate of the institution, But in light of the conflict of interest between the administrators of the institution and the shareholders and various parties, the search for a mechanism to reduce the discrepancy gap and determine the responsibilities and duties of each party, The governance of institutions that protect the interests of all parties, including minority shareholders, has emerged through a set of principles that determine the role of each party.

In this paper, we will explain the conceptual framework of corporate governance by defining governance and tracking its development, as well as addressing its requirements.
