Abstract AR
هدف الدراسة : تهدف هذه الدراسة إلى البحث في أثر تعدد العضوية في مجالس الإدارة على أداء الشركات.
منهجية الدراسة : تم قياس تعدد العضوية في مجالس الإدارة من خلال مؤشرين، هما : مجموع تعدد العضوية لأعضاء مجلس الإدارة، وتعدد العضوية في مجالس الإدارة للعضو الواحد من أعضاء المجلس.
أما أداء الشركات ؛ فقد تم قياسه باستخدام العائد على الأصول، فضلا عن إضافة مجموعة من المتغيرات الضابطة للنموذج، التي تتعلق بحوكمة الشركة، و هيكل المالية، و خصائص الشركة و مجلس الإدارة.
البيانات و عينة الدراسة : تم تجميع البيانات اللازمة لهذه الدراسة من 131 شركة من مختلف القطاعات داخل السوق المالية السعودية خلال عام 2016.
نتائج الدراسة : أشارت نتائج الدراسة إلى وجود تأثير طردي لتعدد العضوية في مجالس الإدارة على أداء الشركات.
الخاتمة : يسهم تعدد العضوية في مجالس إدارة الشركات في رفد الشركة بأهم الخبرات الضرورية لإدارتها ؛ كونها عملية تعليمية مستمرة لأعضاء مجلس الإدارة، و قناة مهمة لانتقال المعرفة و الخبرات، و وسيلة فعالة للتواصل من أجل جلب التمويل و الصفقات، و غيرها مما يعود بالنفع على الشركة و ينعكس إيجابا على أدائها التشغيلي و المالي.
Abstract EN
Aim of the Paper : this study aims to investigate the effect of board interlocking on firm performance.
Study Design : board interlocking is measured using two different indicators : number of interlocks and number of interlocks per member.
As for firm performance, it is measured using return on assets.
In addition to other control variables related to corporate governance, ownership structure, firm and board characteristics.
Sample and Data : data of 131 firms is collected from various sectors in the Saudi financial market in the year 2016.
Results : the study indicates the presence of positive effect for board interlocking on firm performance.
Conclusion : board interlocking adds expertise to the board ; it is a continuous learning process for the board members and a vital channel for knowledge and experience.
It is also a means of communication to assure financing sources, which adds value to the firm and positively affects the firm’s financial and operational performance.
