Corporate governance has occupied a very important place for all over the world, whether in developed or developing countries, especially after the changes that the world has witnessed during the last two decades, mainly during the major financial crises and corporate collapses.

The purpose of this paper is to highlight the role that governance can play in enhancing the overall performance of the institutions.

Through this research we reached many important results the most important one are overall performance institution's interest through compliance with the rules of governance that makes the individual a good citizen, and it does not only seek to achieve the financial benefit of the owners, but the benefit of all other stakeholders as well.
