Abstract EN

This study deals with the corporate governance through a reading of related concepts and the presentation of international experiences.

Governance is a modern concept that has received wide attention at the local and international level due to the changes witnessed in the world, mainly globalization and financial and economic meltdowns that touched the largest companies in the world.

The aim of this study is to identify the historical evolution of corporate governance and the reasons for its emergence, as well as its importance, with the presentation of international experiences, using the deductive approach.

The most important conclusion of the study is that developed countries have relied on governance and incorporated its principles into the course of their economies and institutions, while emerging countries are taking positive steps to implement its principles.

This is because the establishment of a sound system of corporate governance and the strict application of its standards lead to the creation of guarantees against corruption and mismanagement, and the achievement of greater transparency and justice.

In this regard, it is noteworthy that Egypt is the leading Arab state in this area showing a remarkable fulfilment of the requirements of the principles of governance in comparison to other Arab countries
