الشركة بوصفها مشروع إقتصادي يهدف إلى تحقيق الربح لابد أن تتوفر لها مجموعة من العوامل لتحقيق هذا الهدف و لعل في مقدمتها إمتلاكها إدارة ذات خبرة و كفاءة تمارس عملها وفقا للإختصاصات الممنوحة لها لذا فإن وضع قواعد خاصة بإدارة الشركات كانت محور إهتمام القوانين المختلفة إذ وضعت مجموعة من القواعد القانونية التي تكفل إدارة الشركة بصورة سليمة و تحافظ على حقوق الشركة و الشركاء على حد سواء.
لقد إهتم قانون الشركات العراقي بوضع قواعد قانونية تنظم إدارة الشركة و خصص لها الباب الرابع منه يهدف بحثنا الى تقويم قواعد إدارة الشركات الواردة في قانون الشركات العراقي رقم 21 لسنة 1997 لغرض تحديد أوجه القصور في تلك القواعد و متطلبات النهوض بها في ظل التطورات التشريعية.
Abstract EN
The company as economic enterprise aims to get profit.
It must have a set of factors to achieve this goal, and in the forefront of having an experienced and efficient management.
Foremost among them is having an experienced and efficient management, performs its functions in accordance with the powers conferred upon it.
Different laws have focused on management of the company rules.
They have developed a set of legal rules, to ensure proper management of the company and It protects its rights and partners alike.
The Iraqi Companies Law has been concerned with the development of legal rules governing the management of the company in the section IV of it.
Our research aims to evaluate these rules, to identifying deficiencies of it, and determination of the requirements for their development.
