Abstract EN

The legislative regulation of the sole proprietor company is one of the most important developments of the federal commercial Companies Law of the United Arab Emirates No.

2 of 2015.

This law came in response to practical requirements, namely the fact that this company existed under the cover of a multi-partner company.

The law came to regulate its status as a necessary step to harmonize legislation and reality.

Perhaps the most important characteristic of a sole proprietor company is the limitation of the sole partner’s liability, which, apart from being characteristic, is a major advantage.

But this feature does not mean absolute immunity for the owner of the company, as the legislator takes into account the balance of interests of the sole partner and the third party that deals with the company, which may require the partner to be deprived of the advantage of limited liability.

The objective of this research is to assess the adequacy of the legal provisions governing the liability of the partner by trying to answer the following questions: what is the legal basis for limitation the liability of the partner? Under what circumstances shall this liability be limited and when it is not? Is there any specificity that requires additional rules that are not regulated?.
