Abstract EN

The legislative regulation of the one-person company is one of the most important developments of the federal commercial Companies Law of the United Arab Emirates No.

2 of 2015.

This was issued in response to some practical requirements, namely that this company already exists under the cover of a multi-partner company and its regulation was necessary to harmonize legislation and reality.

Perhaps the most important characteristic of a one-person company is the limitation of the sole partner’s liability, which is a major advantage, apart from being characteristic.

But this feature does not mean absolute immunity for the owner of the company, as the legislator takes into account the balance of interests of the sole partner and the third party deals with the company, and this may require the partner to be deprived of the advantage of limited liability.

The objective of this research is to assess the adequacy of the legal provisions governing the liability of the partner: what is the legal basis for the limitation of the liability of the partner? In any case, such liability shall be limited and when is it not? Is there any specificity requiring additional rules that are not regulated?
