This research paper aims to examine the civil liability of the managers in the event of the merger of commercial companies.

the study found that it was an objective responsibility sufficient to establish the damage so that any person affected by the merger decision could initiate a claim of liability on the grounds that the damage to the company itself as a legal person opened the way for the commencement of the company's claim, while the damage to a partner, shareholder or third party allowed the injured to file an individual action.
