يهدف هذا البحث إلى دراسة العلاقة بين الحاكمية المؤسسية في البنوك الأردنية (المتمثلة في هيكل الملكية، و طبيعة أعضاء مجلس الإدارة، و عدد أعضاء مجلس الإدارة) و أدائها من خلال إجراء تحليل الانحدار على البيانات المالية لمجتمع الدراسة و المكون من البنوك المدرجة في سوق عمان المالي و عددها 14 خلال الفترة الواقعة بين عامي 1997-2006.
توصلت الدراسة إلى وجود أثر لهيكل ملكية البنك و طبيعة أعضاء مجلس الإدارة في أداء البنك.
و قد أظهرت النتائج أن أفضل البنوك أداء هي التي تملك المؤسسات غالبية أسهمها، و يصبح أداء البنك أكثر فعالية كلما زادت نسبة ملكية رئيس مجلس الإدارة و أعضائه في أسهمه، علما بأنه لم يكن لعدد أعضاء مجلس الإدارة أهمية واضحة في التأثير في أداء البنك.
Abstract EN
Based on a sample of 14 banks listed on Amman Stock Exchange market over the period 1997 to 2006, this paper investigates the influence corporate governance (namely : ownership structure, board composition, and board size), and bank performance using a linear regression analysis.
The results show that ownership structure and board composition have a strong impact on the bank performance.
Results indicate that banks with institutional majority ownership have the highest performance and that as manager's and board members' ownership percentages increase the bank becomes more efficient.
Surprisingly, board size has no effect on bank's performance.
