The stage of contractual negotiations is essential in contract formation, especially those of economic importance, but its legal value varies from one system to another.

In Anglo-Saxon law (common law), freedom of negotiation is absolute, while it is limited in Romano-Germanic law (civil law) according to certain principles.

This divergence in the legal philosophy of the pre-contractual stage between these two law families did not continue, but these two systems have converged their views about the pre-contractual stage under the Globalization effect, or under what is called the Americanization of law.
