Corporate governance considered as e most important Subjects attended by researchers,economists and managerial and professional institutions; especially after the economic and financial crisis during the last decades,the corporate governanceconsideredasa factor affects the success of the corporations in developing markets, which realise optimal disclosure and clarity in information about financial statement.

The objective of the study is to highlight the corporate governance, and showing its role in increasing the flow of direct foreign investment because it is one of most factors in the development of states and as an index for open economy in addition to dealing withglobaldevelopments.
