Abstract EN

According to the article 612 paragraph 2 of the code of commerce, the legislator has enabled to a legal person to be appointed as a director in a company limited by shares, on the condition that it shall designate a permanent representative (natural person) who is subject to the same conditions and obligations, that if he was an administrator in his own name, without requiring them to be a shareholder.

This last, can be paid or not by the legal person which is designated.

The permanent representative must exercise its functions in the framework of the council of administration in a collegial fashion.

However, these functions can take end as a result of a revocation, resignation or well end of the term of the contract.

The importance of this research shows that the subject of the permanent representative of the legal person who is a member of the board of directors raises many questions under the Algerian and French laws.

Therefore, an analytical and comparative approach will be adopted in this regard.
