لقد حظي مفهوم حوكمة الشركات باهتمام واسع من قبل معظم الدول و المؤسسات و ذلك لأن حوكمة الشركات جاءت كإجابة عن سلسلة الانحرافات التي وقعت في تسيير الشركات الكبرى لتتطور و تفرض نفسها كابتكار معاصر في ميدان تسيير الشركات.
و يكمن المسعى في أن مجلس الإدارة هو المسؤول عن رعاية مصلحة الشركة و مصلحة المساهمين من خلال مهمتي التسيير و الرقابة التي يضطلع بهما.
لذلك إن الهدف من الدراسة هو تبيان الدور الفعال لمجلس الإدارة في التطبيق السليم لمبادئ حوكمة الشركات
Abstract EN
Corporate governance is gaming increasing in-terest from governments and companies, as it is a response to the different gaps in the management of large companies and has emerged as an inno-vation in company's management.
Thus, the board of directors is responsible from preserving the interest of the company but also of its shareholders through the two emission as-signed to it management and control.
To this end, the purpose of this study is to de-monst the decisive role of the board of directors in the effectives application of the principles of corporate goveronce.

La gouvernance d'entreprise bénéficie d'un inté-rêt grandissant de la part des Etas et des entre-prises, et ceci on elle constitue une réponse aux différents écarts constatés dans la gestion des en-treprises et s'est imposée comme une innovation dans la gestion des entreprises.
Ainsi, le conseil d'administration est responsable de la préservation d l'intérêt de l'entreprise et des actionnaires à travers les deux missions de gestion et de contrôle qui lui sont attribuées.
A cet effet, le but de cette études est de démon-trer le rôle déterminent du conseil d'administration dans l'application efficace des principes de la gou-vernance des entreprises.
