تعتبر ظاهرة حوكمة المؤسسات أحد أهم الآليات التي كشف عنها اقتصاد المعرفة و التي نالت اهتمام عالمي كبير من قبل المنظمات الدولية نظرا لدورها في حماية المؤسسات من التعرض لحالات التعثر و الفشل المالي و الإداري و أيضا لحمايتها من مخاطر التصفية هذا فضلا عن دورها في تعظيم قيمة المؤسسة في السوق و ضمان بقائها و نموها و استمرارها على المستوى المحلي و الدولي.
كما أن الحوكمة عنصر لازم و متلازم في كافة الأعمال لأنها تشكل دورا مهما في الحياة الاقتصادية و الاجتماعية على الصعيد الدولي كما على الصعيد المحلي و الإقليمي حيث لا يخفي على أحد أهمية المؤسسات و الدور الاقتصادي الفعال الذي تلعبه في بناء الاقتصاديات و نموها.
حيث يعتبر أداؤها من أهم المؤشرات الاقتصادية و تطورها دليل على فعالية الاقتصاد و تقدمه كما يمكن القول بأن حوكمة المؤسسات تعد من أهم العمليات الضرورية و اللازمة لأداء أي مؤسسة لوظائفها بأكمل و جه.
و في هذا الإطار تأتي النظرية المؤسساتية لتفسير ضرورة توفير مناخ أو محيط مؤسساتي ملائم و منسجم تماما مع عملية تحقيق التنمية الاقتصادية.
فالمؤسسات القوية ذات القوانين الصارمة تسمح بتحسين الترابط بين المتعاملين الاقتصاديين كما تساعد على تقليل التكاليف الخاصة بإبرام و تنفيذ العقود لهؤلاء المتعاملين

The phenomenon of corporate governance is one of the most important mechanisms uncovered by the knowledge economy, which has attracted a great deal of attention from international organiza-tions, to protect the institutions not only against administrative and financial failures, but also against liquidation risks.
The value of the company in the market is to ensure its survival, growth and maintenance at the local and international level.
Governance is an essential component of all economic and social life at the international, local and regional levels.
It plays an effective economic role in the construction and development of economies.
If the performance of one of the most important economic indicators and its evolution testify to the efficiency of the economy and its progress, it follows that corporate governance is one of the most important processes for the per-formance of any institution in the performance of its functions.
In this context, institutional theory results in the need to create an appropriate institutional environment, if not fully compatible with the process of economic development.
Strong institutions with strict laws improve the interdependence of economic agents and help reduce the costs of concluding and executing the contracts of these dealers.

Le phénomène de la gouvernance d'entreprise est un des mécanismes les plus importants mis au jour par l'économie de la connaissance, qui a sus-cité une grande attention de la part des organisa-tions internationales, afin de protéger les institu-tions non seulement contre les défaillances admi-nistratives et financières, mais également contre les risques de liquidation.
La valeur de l'entreprise sur le marché est d'assurer sa survie, sa croissance et son maintien au niveau local et international.
La gouvernance est une composante essen-tielle de toute vie économique et sociale au niveau tant international que local et régional.
Elle joue un rôle économique efficace dans la construction et le développement des économies.
Si la performance de l'un des indicateurs économiques les plus im-portants et son évolution témoignent de l'efficacité de l'économie et de son progrès, il en découle que la gouvernance d'entreprise est l'un des processus les plus importants pour la performance de toute institution dans l'exercice de ses fonctions.
Dans ce contexte, de la théorie institutionnelle résulte la nécessité de créer un environnement institutionnel approprié, voire pleinement compatible avec le processus de développement économique.
Des institutions fortes, dotées de lois strictes, amé-liorent l'interdépendance des agents économiques et contribuent à réduire les coûts de conclusion et d'exécution des contrats de ces concessionnaires.
