تعتبر الحوكمة عنصر لازم و متلازم في كافة الأعمال لأنها تشكل دورا مهما في الحياة الاقتصادية و الاجتماعية على الصعيد الدولي كما على الصعيد المحلي و الإقليمي حيث لا يخفي على احد أهمية الشركات و الدور الاقتصادي الفعال الذي تلعبه في بناء الاقتصاديات و نموها حيث يعتبر أداؤها من أهم المؤشرات الاقتصادية و تطورها هو دليل عافية الاقتصاد و تقدمه وأن اقتصاد أي دولة يقاس بمؤشر أداء الشركات فيه.
حيث تعد حوكمت الشركات من أهم العمليات الضرورية و اللازمة لأداء أي مؤسسة لوظائفها بأكمل وجه لأن انعدام أسلوب حوكمت الشركات يمكن القائمين على الشركة سواء كانوا مجلس إدارة أو مديرين أو موظفين عاديين من تفضيل مصلحتهم الشخصية على حساب مصلحة المساهمين و الدائنين و أصحاب المصلحة الآخرين مثل الموظفين و الموردين و غيرهم

Governance is a necessary and integral element in all businesses because it plays an important role in the economic and social life at the international level, as well as at the local and regional level, where the importance of companies and the effec-tive economic role it plays in building and developing economies is recognized.
The most impor-tant economic indicators and their development is the evidence of the health of the economy and its progress, and that the economy of any country is measured by the index of the performance of companies in it.
Where companies have been prosecuted as one of the most important and necessary processes for any institution to perform its functions to the fullest, because the lack of the method of prosecuted companies can be the company's managers, whe-ther they are board of directors or managers or ordinary employees to prefer their personal inte-rest at the expense of shareholders and creditors and other stakeholders such as Employees, suppliers and others.

La gouvernance est un élément nécessaire et intégral dans toutes les entreprises car elle joue un rôle important dans la vie économique et sociale au niveau international, ainsi qu'au niveau local et régional, où l'importance des entreprises et le rôle économique efficace qu'elles jouent dans la cons-truction et le développement des économies sont reconnus.
Les indicateurs économiques les plus importants et leur évolution sont la preuve de la santé de l'économie et de ses progrès, et que l'économie de tout pays est mesurée par l'indice de la performance des entreprises dans ce pays.
Lorsque les entreprises ont été poursuivies comme l'un des processus les plus importants et nécessaires pour qu'une institution puisse exercer pleinement ses fonctions, parce que l'absence de la méthode des sociétés poursuivies peut être le gestionnaire de la société, qu'il s'agisse d'un conseil d'administration, d'un directeur ou d'un employé ordinaire qui préfère son intérêt personnel aux dépens des actionnaires, des créanciers et d'autres intervenants comme les employés, les fournisseurs et autres.
