The stock market is one of the most influential institutions in the country's economies.

there is no doubt that the growth of the market and its development is done through the accurate and integrated legal regulation of securities trading operations and this can be achieved only by providing adequate protection for investors in the market.

thus, adequate protection increases investors confidence to trading and increases their interest also.

lately, the Iraqi legislation is one of the legislations that dealt with regulating of circulation or trading through the issuance of the securities market law No (74) of the year (2004).

however, this organization is overshadowed by short coming and ambiguity, whether in terms of organizing the process of concluding the contract or its implementations or the previous preparatory stage, which reflected negatively on the volume of trading operations that take place within the Iraqi stock exchange.

the importance of the legal regulation of trading process is because it will disclose through addressing it in accordance with plan which includes three chapters.

the study deals in the first chapter what is contract of trading securities and bonds on demonstrate it from other contracts and the place of this contract namely securities, especially stocks and bonds.

the second chapter is the process of including the trading contract, while the study will deal in the third chapter the previsions of the trading contract through the explanation of its effects and how to implement.
