The research focused on Strategic vigilance variable, with its dimensions (environmental recognition, environmental assimilation, adaptive transformation), as an independent variable, and the other variable was the vital capacities, including its dimensions (ability to perceive opportunities, learning ability, integration ability).

In the activation of the vital capabilities of UR company.

The researcher used the descriptive analytical method to be associated with the analysis in terms of theoretical and practical aspects.

The sample of the research was estimated at (52) who hold advanced positions in UR Company for Engineering Industries that located in Dhi-Qar Province.

The researcher used (SPSS) package for data analyzing through (Sarton, Standard Deviation, Spearman-Brown, value: F) where the main conclusion (UR company suffers from a significant weakness in the transformation from being to a more competitive position due to resistance, While the main recommendation was to prepare training programs for all organizational levels to enable them to conduct environmental monitoring methods and analyze situations.
