يعد العقد، و منذ أمد بعيد، الأداة القانونية الرئيسة في المعاملات التجارية، بما في ذلك المعاملات بين المستثمرين الأجانب و الدول المضيفة، فمن غير المستغرب أن تحتوي نصوص معاهدة الاستثمار المتعددة على حكم خاص يهدف إلى حماية الحقوق التعاقدية للمستثمر يدعى بشرط المظلة.
تتمثل الخاصية المميزة لشرط المظلة-التي يعرف بمراعاة التعهدات و حرمة أحكام العقد أيضا-في أنه و ببساطة يجعل التعهدات التعاقدية غير قابلة للانتهاك ؛ لأنه يخلق ضمانًا شاملا ضد أي تدخل في الحقوق التعاقدية، إذ يثار التساؤل الآتي، هل هناك دور مختلف لشرط المظلة في حماية المستثمر من تدخل الدولة المضيفة ؟.
و باتباع المنهج التحليلي بتحليل مختلف معاهدات الاستثمار الثنائية و القضايا التحكيمية التي أثارت جدلا واسعا، نستكشف في هذا البحث أهم آراء الفقه و هيئات التحكيم الدولية من أجل معرفة مفهوم شرط المظلة و أثره في قرارات التحكيم بين المستثمر الأجنبي و الدولة المضيفة، لما له من أهمية بالغة في تمكين المفاوض الوطني من الوقوف على أهم التطورات في مبادئ تحكيم الاستثمار الدولي.
Abstract EN
The scholars in intellectual property rights are focus on studying the nature of these rights, whether of their types ; conditions; the authorities of their owner or the means of their protection.Despite the importance of the above, for its effective impact on the protection of innovation, which has a positive impact on the economic or industrial sphere, but another important aspect that has not been given sufficient attention is the restrictions on the authorities of the owner of intellectual property in the abuse of his right.
Especially if the damages resulting from abuse are more important than the interests of the owner of intellectual property rights.This research is an attempt to highlight situations that constitute abuse of intellectual property rights, and how to balance between the interests of the owner of those rights in their use, and the damages resulting from that use.
