The purpose of this research paper is to provide a real and legal image of the process of trading of subscription certificates in joint-stock companies, and establish an effective framework for them, in order to show the scope of their transactions, ranging from prohibitions and permissions.

It also aims to clarify the process of trading of subscription certificates in joint-stock companies, in accordance with the general principle of banning the trading of subscription certificates and the exception to this principle, including the sanctions resulting from the violation of this prohibition.

The purpose of these actions is to establish an effective framework of the process of trading stocks, in order to accompany the current developments in both economic and commercial climate in general.

In addition to the radical reforms nowadays related to legislation and laws governing the joint-stock companies, taking into account the fundamental role of these kinds of companies in economic growth and sustainable development.
