يقوم البناء القانوني للشركة التجارية وفقا لمفاهيم الديمقراطية في الإدارة و ذلك لتعدد الهيئات فيها فعلى الجمعية العامة للشركة مهمة تقرير السياسة العامة بالإضافة إلى الرقابة على نشاط الشركة و على أجهزة الإدارة و أموالها و للشريك في هذا الصدد الحق في الإطلاع على شؤون و العلم بأمور الشركة اذ يعد ذلك بمثابة رقابة سابقة للمصالح المالية في الشركة فجاء القانون التجاري بمجموعة من القواعد التنظيمية التي تكرس هذا الحق في جميع أنواع الشركات التجارية كما جاء بالأحكام الجزائية التي تشكل إلى حد ما حماية و ردعا عن التعدي على هذا الحق أو التعدي على الوسائل التي تضمن ممارسته بفعالية أثناء تسير الشركة التجارية، و التي نحاول رصدها في هذه الدراس و بالبحث في مدي نجاعتها في تحقيق الحماية المطلوبة.
Abstract EN
The legal construction of a commercial company is based on the concepts of democracy within the administration due to the plurality of its instances.
The general assembly is in charge of the general policy, in addition to the control of the company’s activity of administrative structure and its finance.
The partner in commercial companies has the right to be informed of the company’s affairs and all its matters where, this right is considered, as previous control onto company’s financial interests.
The commercial law, then has established legal sentences that regulate this right in all types of commercial companies, as well as penal sentences that protect this right from assaulting it or from assaulting the means that guarantees its practice efficiently during the management of the commercial company.
which we are trying to define in this study, and discover its efficacy to get the protection wanted

En raison de la multiplicité des organes qui la composent, la construction juridique d’une société commerciale est établie conformément à la conception de démocratie dans l’administration : l’assemblée générale a pour mission de décider de la politique générale, d’assurer le suivi des activités, des outils et des fonds de la société.
Le partenaire, pour sa part, a le droit d’être informé du fonctionnement, ce qui est considéré comme un contrôle préalable des intérêts financiers de la société.
La réglementation du droit commercial consacre ce droit dans tous types de sociétés.
Ses dispositions pénales protègent et dissuadent contre la violation de ce droit et des moyens qui garantissent son exercice et le fonctionnement efficace de la société commerciale.
C’est ce que nous essayerons de réunir dans cette étude.
