قصد ضمان حقوق الغير المتعامل مع الشركات التجارية لم يكتفي المشرع الجزائري بتقرير إمكانية إفلاس الشركات التجارية، بل أتبعها بإمكانية تمديد أحكام الإفلاس على الشريك المساهم في رأس مالها متى تقرر ذلك تبعا لنص صريح يجيز ذلك، أو بحكم صفته في الشركة كقائم بالإدارة، أو تبعا لخطأه الشخصي أو بالتضامن مع غيره من الشركاء.
Abstract EN
In order to guarantee the rights of third parties dealing with commercial companies, the Algerian legislator not only decided on the possibility of bankruptcy of commercial companies, but also followed them with the possibility of extending bankruptcy provisions to the shareholder in their capital when it was decided to do so in accordance with an explicit provision authorizing it, or by virtue of his status as a managing director, or according to his personal mistake or in solidarity with other partners.

Afin de garantir les droits de tiers traitant avec des sociétés commerciales, le législateur algérien a, non seulement décidé de la possibilité de la faillite des sociétés commerciales, mais les a également suivis de la possibilité d’étendre les dispositions de la faillite à l’actionnaire dans leur capital lorsqu’il a été décidé de le faire conformément à une disposition explicite l’autorisant, ou en vertu de son statut de gestionnaire dans la société, ou en fonction de sa faute personnelle ou en solidarité avec d’autres associés.
