The limited partnership companies are represented by the simple partnership company, which is considered one of the most important people’s companies, and the limited partnership by shares, which is considered one of the capital companies.

Despite the difference between the nature of the two companies, they are similar in that they include two sorts of partners, solidarity partners who bear personal, joint and absolute liability for the debts of the company and limited partners whose liability for the debts of the company is determined by the amount of their shares in its capital.

And their obligations, as the Algerian legislator deprived the limited partner of some rights, especially the right to enter his name in the address of the company, as well as his right to manage the company, and this is what led investors to refrain from entering as limited partners in such companies.
