Lorsque un patient s'adresse à une clinique privée pour y subir un traitement ou une opération chirurgicale, il contracte avec la direction de cet établissement, il existe donc entre le malade et l'établissement un contrat appelé généralement contrat hospitalier.
La clinique agit par l'intermédiaire d'un personnel infirmier et auxiliaire médical qu'elle met à la disposition du chirurgien et de l'anesthésiste pour compléter l'équipe chirurgicale.
De ce fait, les auxiliaires médicaux interviennent dans l'exécution des obligations incombant aux praticiens et à la clinique, ils sont généralement des salariés embauchés par la clinique pour exécuter les obligations que cette dernière contracte vis-à-vis du malade.
Ainsi, lorsque le malade suit un dommage dont l'origine se trouve dans le fait d'un auxiliaire, il est nécessaire de savoir qui, des médecins ou de la clinique, doit en être déclaré civilement responsable, en cas de faute d'un auxiliaire médical.
