The economic difficulties that may face the commercial companies during the exercise of their activities often lead to their stumbling and dissolution, so the liquidation of its assets, the study aimed to identify the effective role played by merger as a means of focusing projects and found to help the stalled projects from disappearance, then, the study concluded that the merger is a pasteurized solution for the company that does not result in the liquidation and division of the merging companies assets, but rather, its corporate personality expires and its financial liabilities transfer to the merging or new company that is left by a general succession, as it is relaced by the – merging company- in its rights and obligations just as the legislator has permitted companies to merge with others even if they are in the process of liquidation.
