This has led to the emergence of commercial companies, which operate with the goal of profit and socio-economic stability.

Legislators, therefore, devised the founding of commercial companies on sound principles and grounds, so that their validity would not be violated, nor will these companies be nullified.

Furthermore, legislators have held nullification as a non-factor due to its past repercussions in order to preserve the legal status of the partners and protect others during the time between the founding of the company to the verdict on its nullification.

This allows the principles of Prima Facie to materialize—which in turn allows the existence of illegal de facto corporations.
