This study aimed to demonstrate the impact of governance on the financial performance of the institution.

A sample of Khenchela state institutions was tested during the year 2017, and to find out the degree of correlation between the two variables, regression was used by the least squares method, which was measured by return on assets and return on equity.

The studyconcluded that there is no relation ship between governance and financial performance in the institutions of the state of Khenchela.
