The issue of oversight of business operations, particularly in a limited liability company, is of great importance, whether the manager is appointed from among the partners or from third parties.

The purpose of the partners in the position of their funds in participation and capital formation is to achieve their legitimate desire for profit, and only through the maintenance of such funds through the control of the operation.

It must therefore be asked what regulatory mechanisms that the legislator has put in place in order to enable the partners of the limited liability company to exercise effective control over the operation with a view to preserve their funds.
