The role of leaders is essential to the soundness of any business, they assume the mission of leading the business to achieve the purpose for which it was created.

However, and taking into account the broadest powers of the directors to act in all circumstances in the name and on behalf of the company, the latter may abuse their powers by committing certain faults which may be considered serious and which may lead the company to the cessation of payment, and therefore, adversely affect the interests of other partners.
