In 2008, the United States of America had experienced the worst financial and economic crisis in her history since the great depression in 1930, this crisis became quickly a global financial crisis, and it began with subprime mortgage market crisis then developed to a full blown financial crisis.

This crisis is the outcome of many economic problems that previously known by United states such as the Instable macroeconomic situation of united states, deficit of trade, high private and public debt, in addition to continuous rise in of unemployment, inflation and poverty indicators.

As corporate governance is closely related to corporate finance, the financial crises have revealed that failure to apply correct corporate governance has led to the bankruptcy of many companies in developed countries, the main reason behind that is the poor governance practices, lack of experience and high managerial qualities, poor auditing and control procedures, in addition to lack of corporate transparency.
