Abstract EN

Civil responsibility is a true reflection of the values of the society in which they believed, the development of civil responsibility' rules is considered a measure of the maturity of social and legal awareness in it, the Egyptian civil legislator relied on Islamic jurisprudence in establishing the rules of civil responsibility, where he decided that the basis of responsibility is to cause harm by an unlawful act or an act Contrary to the law, also indicated in Articles 163 and 164 of the Egyptian Civil law that, everyone who causes harm to others is obligated to pay compensation due to his mistake while he/she responsible.

This research aims to highlight two basic points, first, determine the nature and pillars of civil responsibility for the managing director in joint-stock companies, also, define the characteristics and types of civil responsibility for the managing director, in addition, proposals to add, amend and delete some Articles related to the relationship of the managing director and/or members of the board of directors on a side and the company joint-stock from the other side.

This research has many results based on the civil responsibility of the managing director in the joint-stock company, the most important of which is that “As an adaptation to the legal nature of the relationship of the managing director of the joint-stock company the managing director is considered as “paid representative” and considering him a representative of the joint-stock company as a legal person”, as well as this research providing many recommendations that are intended to contribute to defining the nature of the managing director's civil responsibility in the joint-stock companies in the Arab Republic of Egypt more precisely, the most important of which is "the explicit provision to specify the legal nature of the managing director as being a paid representative for the joint-stock company.
