The late last century witnessed a major shift from the traditional system of companies to the modern system of electronic companies, as a result of the emergence of e-commerce.

Therefore, most companies sought to convert to electronic companies or establish purely electronic companies because of the great benefits such as achieving effort, time and a mass base.

However, these companies were not tightly regulated by legislation, unlike some dispersed laws.

Consequently we find that the formation of the electronic company contract seemed ambiguous until the emergence of both laws 4/15 related to electronic signature and authentication and laws 18/05 related to electronic commerce.
