Arabic Abstract

بينت هذه الدراسة التأصيل القانوني لكل من الاندماج و اتفاق التحكيم، كما بينت الأثر الذي تحدثه عملية الاندماج على التحكيم، و اتخذت القانون الأردني أنموذجا لتحليل معطيات البحث و مسائله معتمدة في ذلك على المنهج العلمي المتبع و هو المنهج الاستقرائي التحليلي.

و قد سلطت الدراسة الضوء على الجانب النظري لانتقال اتفاق التحكيم بين الشركات الداخلة في عملية الاندماج من خلال البحث في المبادئ التي تحكم اتفاق التحكيم في ظل تغير أطراف اتفاق التحكيم نتيجة لعملية الاندماج سواء لانتقاله بوصفه حق ثابت، أو لتنفيذه طبيعته الاستثنائية و المختلطة، و الآثار التي تتركها عملية الاندماج على اتفاق التحكيم من حيث آثار هذا الاتفاق و بعض اجراءات التحكيم.

و قد تم تقسيم الدراسة إلى ثلاثة فصول رئيسية تناول الفصل الأول منها ماهية اتفاق التحكيم وآثاره القانونية، و فيه تناولت الدراسة تعريف اتفاق التحكيم و بيان صوره و شروطه، و أركانه، و طبيعته القانونية و آثاره القانونية، فيما تناول الفصل الثاني ماهية الاندماج وطبيعته القانونية، و فيه تم تعريف عملية الاندماج و بيان صورها، و شروطها، و طبيعتها القانونية و ما يميزها عن غيرها من العمليات المشابهة، و أما الفصل الثالث فقد خصص لدراسة انتقال اتفاق التحكيم بين الشركات المندمجة في ظل عملية الاندماج، حيث تم فيه دراسة الأساس القانوني لانتقال شرط التحكيم من الشركة المندمجة إلى الشركة الدامجة، و تأثير ذلك على اتفاق التحكيم من حيث صفة الخصوم و بعض إجراءات الخصومة التحكمية و الآثار الموضوعية لاتفاق التحكيم، و أخيرا فقد تضمنت الدراسة خاتمة اشتملت على أهم النتائج و التوصيات التي توصلت لها الباحثة من خلال الدراسة

English Abstract

This study showed the legal basis for both the merger and the arbitration agreement, as well as the impact of the merger process on arbitration, and the Jordanian law took a model for analyzing the research data and its issues, relying on the scientific approach followed, which is the inductive analytical approach.

Arbitration agreement between companies involved in the merger process; Through researching the principles governing the arbitration agreement in light of the change of the parties to the arbitration agreement as a result of the merger process, whether for its transfer as a fixed right,The study was divided into three main chapters, the first chapter of which deals with the nature of the arbitration agreement and its legal implications, In it, the study dealt with the definition of the arbitration agreement, its forms, conditions, and elements, its legal nature and its legal effects, while the second chapter dealt with the nature of the merger and its legal nature, and in it the merger process was defined and its forms, conditions, legal nature and what distinguished it from other similar processes were defined.

As for the third chapter, it was devoted to studying the transfer of the arbitration agreement between the merging companies under the merger process, in which the legal basis for the transfer of the arbitration clause from the merging company to the merging company was studied, and its effect on the arbitration agreement in terms of the liabilities' status, some arbitration litigation procedures, and the substantive effects of the arbitration agreement.

Finally, the study included a conclusion that included the most important findings and recommendations that the researcher had reached through the study
