The purpose of this research is to analyze the impact of the characteristics of the board of directors (the size of the board, the PCA / CEO duality, the frequency of meetings and the presence of external directors) on the performance of Algerian commercial banks, measured by the (ROA).
The empirical validation concerning a panel built from 12 Algerian commercial banks observed for a period of 12 years, from 2008 to 2019.
The results shows that the size of the board of directors, the duality of management and the size of the bank negatively influence the performance of these banks.
On the other hand, the level of debts influence positively this performance.
However, the presence of independent directors and the frequency of meetings have no impact on the performance of the Algerian banks.
Abstract FRE
L'objectif de notre étude est d'étudier l'impact des caractéristiques du conseil d'administration (la taille du CA, la dualité PCA/DG, la fréquence des réunions et la présence des administrateurs externes) sur la performance des banques commerciales algériennes mesurée par (ROA).
La validation empirique concernant un panel construit à partir de 12 banques commerciales algériennes observées pour une période de 12 ans, de 2008 à 2019, montre que la taille du conseil d'administration, la dualité de direction ainsi que la taille de la banque influencent négativement sur la performance de ces banques.
Par contre, le niveau d'endettement influence positivement sur cette performance.
D'autre part, la présence des administrateurs indépendants et la fréquence des réunions n'impactent nullement sur la performance des banques algériennes.
