Arabic Abstract
تناقش هذه الدراسة النظام القانوني لشركة رأس المال المغامر وفق التشريع الأردني و التي تحتل أهمية كبيرة في الوقت الراهن نظراً لستحداثها مؤخراً في التشريع الأردني و نظراً لدورها في دعم الشركات الناشئة (المتوسطة والصغيرة) مما يؤثر بالنتيجة على التنمية و التقدم الإقتصادي، و قد تناولت هذه الدراسة الأحكام القانونية الناظمة لشركة رأس المال المغامر وفق التشريعات الأردنية.
و تقوم هذه الدارسة على فصلين رئيسيين : يتعلق الأول منها بالإطار النظري لشركة رأس المال المغامر، حيث تناول التطور التاريخي لشركة رأس المال المغامر و بیان ماهيتها و نشاطها، بينما يتعلق الفصل الثاني من هذه الدراسة بالإطار القانوني لشركة رأس المال المغامر إبتداءً من تأسيسها مروراً بإدارتها و تنظيم أعمالها و إنتهاء بإنقضائها، و ذلك في ضوء قانون الشركات الأردني رقم 22 لسنة 1997 و تعديلاته و نظام شركات رأس المال المغامر رقم 143 لسنة 2018 و التشريعات ذات الصلة.
خلصت الباحثة في نهاية الدراسة إلى عدة نتائج منها قصور التشريعات الأردنية في تنظيم أحكام شركة رأس المال المغامر و قد أبرزت الباحثة عدة توصيات من أهمها إقتراح إصدار تعليمات تنظم عملية إصدار شركة رأس المال المغامر للسندات القابلة للتحويل إلى حصص و إقتراح تخفيض الحد الأدنى لرأس مال شركة المساهمة الخاصة كإجراء لتفعيل نشاط شركة رأس المال المغامر.
English Abstract
This study scrutinizes the legal system of the Venture Capital Company according to the Jordanian legislation, which is of a great importance in the present time as it was recently adapted in the Jordanian legislation.
Furthermore, Venture Capital Company occupies an indispensable role of supporting the emerging (medium and small) companies, which will affect the economic development and progression.
The study further deals with the legal provisions governing the Venture Capital Company according to the Jordanian legislation.
The study is based on two parts; the first of which relates to the theoretical framework of the Venture Capital Company, where it deals with the historical development of the Venture Capital Company, its nature and activities.
The second part of this study concerns the legal framework of the Venture Capital Company from its foundation, management and organization of its work to its termination, in light of the Jordanian Companies Act No.
22 for the year 1997 and its amendments, the Venture Capital Companies’ Regulation No.
143 for the year 2018 and the relevant legislations.
The researcher concludes at the end of this study that, the Jordanian legislation failed to regulate the provisions of the Venture Capital Company.
The researcher additionally provides several recommendations, most importantly is the suggestion of issuing instructions to regulate the operation of issuing the Venture Capital Company for the convertible bonds and suggesting a reduction on the minimum capital of the Private Shareholding Company as a measure for the operation of the Venture Capital Company’s activities.
