The modern era has imposed a number of transitions and changes on institutions within detente and cognitive development resulting from globalization, informative technological revolution and communication.

This has prompted the institutions to have a clear vision aiming at qualitative performance and services.

The educational institutions, like the other institutions, have perceived that cognitive quality is the key for foundation and give them the real value.

Thus, these institutions have perceived the importance of the cognitive resource embodied in the intellectual capital.

Therefore, some researchers insist that these institutions must use their cognitive resources and invest their intellectual capital efficiently to join the knowledge society through headhunting creative people who can go with innovation.

We have dealt in this paper with the meaning of intellectual capital, what distinguishes it from material capital, places of its existence and its components.

We have also dealt with the concept of intellectual capital in the higher education institutions, its goals, its importance, its components, the obstacles of its measurement and the differences between its components within companies and those within the higher education.

In addition, we have dealt with the ways through which intellectual capital can be created and developed and its relationship with knowledge management.
