This theoretical contribution aims to analyze the family business from two points of view, organizational and strategic.
the first step is to show the existence of a particularity of the family business with regard to its configuration of ownership.
the objective is to analyze what makes the family business and its strategy specific.
in recent years, and due to the multiple and deep dysfunctions observed within companies, corporate governance has been the subject of a clear resurgence of interest among a multitude of actors, both public and private.
profound institutional reforms have been undertaken in most western countries, and more recently in the Maghreb, in order to put in place new rules of “good governance".
from a theoretical point of view, agency theory has often been used to describe and analyze the mechanisms of corporate governance in family businesses, most often in comparison to non-family businesses.

La présente contribution, à portée théorique, vise à analyser l’entreprise familiale selon deux points de vue, organisationnel et stratégique.
il s’agit d’abord de montrer l’existence d’un particularisme de l’entreprise familiale s’agissant de sa configuration de propriété.
l’objectif consiste à analyser ce qui rend spécifique l’entreprise familiale et sa stratégie.
depuis quelques années, et en raison des multiples et profonds dysfonctionnements observés au sein des entreprises, la gouvernance d’entreprise fait l’objet d’un regain d’intérêt manifeste parmi une multitude d’acteurs, tant publics que privés.
de profondes réformes institutionnelles ont été engagées dans la plupart des pays occidentaux, et plus récemment au Maghreb, afin de mettre en place de nouvelles règles de «bonne gouvernance.
d'un point de vue théorique, la théorie de l'agence a souvent été mobilisée pour décrire et analyser les mécanismes de la gouvernance d'entreprise dans les entreprises familiales, le plus souvent en comparaison par rapport aux entreprises non familiales.
