Abstract EN

In this paper, we address the determination of the responsibility of the civil founders in the joint stock company for the actions and actions that took place at the establishment stage, and in the ence of moral personality, especially since we note some lack of treatment by the Algerian legislator for this, which makes it imperative to elaborate this responsibility further, determine its scope, address some comparative legislation that addressed the issue extensively or differently, and use the opinions of jurists to determine the basis for the establishment responsibility of the founding actions and commitments taken in that period, as well as the type of responsibility and persons that can be taken.

To reach them to become in solidarity with the founders in taking responsibility for all damages resulting from the founding errors, in addition to defining the time frame in which the founder asks about the harm done to others or shareholders for violating the rules relating to the establishment of the joint stock company, and determining the statutes of the compensation claim that put an end to the company's responsibility for any founding error.
