Abstract EN
This paper aims to study the characteristics of the ownership structure and governance of private companies in Algeria.
our empirical study relates to a random sample made up of 150 private companies all sitting at the level of the Wilaya of Algiers.
the necessary data comes from the CNRC, from the legal statutes and the company accounts.
the legal forms used are: SARL, SNC and SPA.
after having tested our hypotheses on the sample, we were found that concentrated shareholding is very widespread in these companies.
also, SNC companies, where the liability of the partners is not limited to their contributions, the family shareholding is much more dominant than the others form.
the shareholder manager remains very present in private companies in Algeria, and the ownership / control separation is more present in companies that include corporate shareholders or foreign shareholders.
also, the SPA shape promotes ownership / control separation.
finally, a large capital often indicates that the manager is not a shareholder.
Abstract FRE
Ce papier a pour objectif d’étudier les caractéristiques de la structure de propriété et de la gouvernance des entreprises privées en Algérie.
notre étude empirique porte sur un échantillon aléatoire constitué de 150 entreprises privées siégeant toutes au niveau de la wilaya d’Alger.
les données collectées sont issues du CNRC, à partir des statuts juridiques et des comptes sociaux.
les formes juridiques retenues sont: SARL, SNC et SPA.
a travers cette étude, nous avons pu faire sortir que l’actionnariat concentré est très répandu parmi les entreprises de l’échantillon.
aussi, l’actionnariat familial est nettement plus dominant dans les SNC que dans les autres formes.
le manager actionnaire reste très présent dans les entreprises privées en Algérie, et la séparation propriété / contrôle est plus présente dans les entreprises qui comprennent des actionnaires personnes morales ou des actionnaires étrangers.
aussi, la forme SPA favorise la separation propriété / contrôle.
enfin, un capital important indique souvent que le manager n’est pas un actionnaire.
