إذا كان المبدأ المتعارف عليه في التشريعات العقابية أن المسؤولية الجزائية شخصية لا تسند إلا لمرتكبها من جهة، و لا تسند إلا للشخص الطبيعي الذي يعتبر الأصل في المساءلة الجزائية، غير أن التطور الهائل لقواعد المسؤولية الجزائية نتيجة تأثرها بعدة عوامل، استلزم تتبع كل الأشخاص و الأفعال و الأنشطة التي ساهمت في وقوع الجريمة في إطار الشركات و المؤسسات الاقتصادية.
الأمر الذي استدعى توسيع نطاق المسؤولية الجزائية في جرائم الأعمال لتشمل الشخص المعنوي نظرا لخصوصية و خطورة هده الجرائم على الاقتصاد الوطني و خصها المشرع بقواعد و إجراءات خاصة

If the Principle admitted into criminal legislation.
that the criminal responsibility is personal and is attributed only to the author on the one hand, and is only attributed to the natural person who is considered to be the source of the criminal responsibility, but the tremendous development of the rules of criminal liability due to being affected by several factors, have required the monitoring of all persons and actions and activities that have contributed to the occurrence of the crime within the framework of companies and economic institutions.
This necessitated the expansion of the scope of criminal liability in business crimes to the legal person due to the specificity and gravity of these crimes on the national economy, and the legislator distinguished them with rules and special procedures

Si le Principe admit dans la legislation penal.
que la responsabilité pénale est personnelle et n'est imputée qu'à l'auteur d'une part, et n'est attribuée qu'à la personne physique qui est considérée comme à l'origine de la responsabilité pénale, mais le formidable développement de la les règles de la responsabilité pénale du fait d'être affectées par plusieurs facteurs, ont nécessité le suivi de toutes les personnes et actions et les activités qui ont contribué à la survenance du crime dans le cadre des entreprises et des institutions économiques.
Cela a nécessité l'élargissement du champ de la responsabilité pénale dans les délits d'affaires à la personne morale en raison de la spécificité et de la gravité de ces délits sur l'économie nationale, et le législateur les a distingués avec des règles et des procédures spéciales.
