Abstract EN

The Syrian corporate law of 2011 has allowed for the first time to establish what is known as the closed joint-stock company and permitted it to change its legal form into an open joint-stock company or a limited liability company.

the legislator organized the effects of this transformation on both the company and its creditors, without clearly mentioning its effects on the company's securities.

this study aims, through the available legal articles, to clarify the effects of this transformation on the securities issued by the closed joint-stock company before being converted.

it also aims to determine when the transformation causes these securities to disappear, and when its effect is limited to merely amending some of the applied provisions, in addition to clarifying the position of the UAE legislator on these issues.

this study is limited to the exploration of the types of transformation allowed by the Syrian legislator without drawing on the other types of transformation allowed by the UAE legislator that the Syrian legislator did not mention.
