Les parties au contrat peuvent avoir convenu d'une réglementation conventionnelle par différentes clauses introduites dans le contrat, à l'instar de la clause pénale.

Et en stipulant cette clause, les parties cherchent à anticiper les difficultés liées à l'évaluation judiciaire des dommages-intérêts en cas d'inexécution totale, partielle ou tardive d'une obligation contractuelle.

Donc l'objectif de la stipulation de cette clause est double, d'une part elle constituée un moyen de pression, d'autre part, elle sert à indemniser d'une éventuelle inexécution.

The parties to the contract may have agreed to a conventional regulation by various clauses introduced in the contract, like the penalty clause.

And by stipulating this clause, the parties seek to anticipate the difficulties associated with the judicial assessment of damages in the event of total partial or late performance of a contractual obligation.

So the objective of the stipulation of this clause is twofold, on the one hand it constitutes a means of pressure, on the other hand, it serves to compensate for a possible non-performance.
