Arabic Abstract

عملت هذه الد ا رسة بالبحث والتحليل لنصوص القانون المتعلقة والمتخصصة في الحوكمة في الشركات المساهمة العامة لبيان أهمية هذه القواعد بالحد من قضايا الفساد، واتبع الباحث في هذه الد ا رسة المنهج الوصفي التحليلي لنصوص القانون المتعلقة بموضوع الحوكمة.

وتوصلت هذه الد ا رسة إلى أن قواعد حوكمة الشركات تلعب دو ا رً هاماً في الحد من مشكلة الفساد المالي والإداري في الشركات المساهمة العامة، وذلك من خلال الآليات الداخلية لحوكمة الشركات، والتي من أهم مبادئها الإفصاح والشفافية والمسائلة والرقابة والتنظيم الإداري وهي مبادئ من شأنها الحد من أي انح ا رفات مالية أو إدارية، وعلى ضوء النتائج توصلت الد ا رسة إلى توصيات أهمها استحداث نص تشريعي في الأردن ينص على تشكيل محكمة متخصصة بمحاربة ج ا رئم الفساد، تطوير وسائل العقاب في التشريعات الأردنية في مجال مكافحة كافة صور الفساد، مع م ا رعاة عدم الغلو في التجريم أو العقاب.

English Abstract

This study was analysis examined the texts of the law related and specialized in governance in public shareholding companies to show the importance of these Rules in compactions corruption cases, in this study, the researcher followed the descriptive and analytical approach to the texts of law related to the issue of governance.

This study concluded that corporate governance rules play an important role in reducing the problem of financial and administrative corruption in public shareholding companies, through the internal mechanisms of corporate governance, the most important of which are disclosure, transparency, accountability, control, and administrative regulation, which are principles that will limit any financial or administrative deviations.

In light of the results, the study reached the most important recommendation.

Introducing a legislative text in Jordan that provides for the formation of a specialized court to combat corruption crimes.

Developing means of punishment in Jordanian legislation in the field of combating all forms of corruption, taking into account not to go to extremes in criminalization or punishment.
