Corporate governance has given rise to a large number of publications, most of which have focused on shareholder governance, which is considered the appropriate solution to discipline managers.
however, taking knowledge into account as a quasi-determining variable in the production of surplus leads us to a governance model that favors the productive dimension of knowledge.
seen from this perspective, Charreaux (2002) defines the governance of organizations as the set of mechanisms that increase the potential for value creation through learning and innovation.
the dominant model of governance based solely on the relationship between shareholders and managers ignores the power that knowledge workers (specific human assets) can exercise in the distribution of surplus.
it is a new model of governance that must take into account who produces the surplus and how it is distributed.
this is the objective of this work, the central hypothesis of which is: the more specific the knowledge, the higher the wages received by those who hold this knowledge.

La gouvernance des entreprises a donné lieu à un nombre important de publications dont la plupart se sont focalisées sur la gouvernance actionnariale considérée comme la solution idoine pour discipliner les managers.
le basculement de l'économie réelle vers l'économie de la connaissance a introduit celle-ci comme une variable déterminante dans la production du surplus.
le surplus est entendu ici comme le supplément de la valeur produite qui permet de rémunérer les facteurs de production (capital et travail).
l'introduction de la connaissance, nous conduit vers un modèle de gouvernance qui privilégie la dimension productive des savoirs.
c'est-à-dire la création de la valeur par la connaissance d'où la prise en compte de ceux qui détiennent cette connaissance.
dans ce cas, ces détenteurs de connaissances (knowledge workers) revendiquent leur part dans le surplus de l'entreprise.
c'est un nouveau modèle de gouvernance qui doit tenir compte de ceux qui produisent le surplus et de la manière dont il est réparti.
tel est l'objectif de ce travail dont l'hypothèse centrale est: plus les connaissances sont spécifiques et plus les salaires que perçoivent ceux qui détiennent ces connaissances sont importants.
