The special nature of the contract of the company from which a legal person emerges, in which it is assumed that it lived for a long time and entered into transactions with others, imposed on the legislator, when applying the theory of nullity, to make some modification and limit it in order to ensure its continuity, in order to protect the economic and social interests that could be wasted and loss as a result of this nullity, given the important position occupied by commercial companies in the economic and commercial life of the state.
