أخذ مفهوم حوكمة الشركات أهمية كبرى في الآونة الأخيرة.
وخلصت التعريفات إلى أن الحوكمة هي أسلوب ممارسة سلطات الإدارة الرشيدة.
لذلك خصص هذا البحث لدراسة إمكانية تطبيق مفهوم حوكمة الشركات في الدول النامية، ومعرفة مدى وجود إرادة تشريعية حقيقية فيها، لإرساء ثقافة الحوكمة، ورفع مستوى الوعي ودعم مشاركة المساهمين في اتخاذ القرارات الهامة، وآلية اختيار أعضاء مجلس الإدارة، وتفعيل عمل اللجان المنبثقة عنها، وأخيرا تعزيز آليات الرقابة الداخلية في الشركات.
وضرورة كفاية إجراءات الحوكمة لتجنيب تحكم أصحاب رأس المال وسيطرت العقلية الأحادية بالقرارات المصيرية في إدارة الشركات، ولإرساء تشريعات تتوافق ومبادئ الحوكمة، كتلك الصادرة عن منظمة التعاون الاقتصادي والتنمية.
Abstract EN
The concept of corporate governance has recently gained great importance and there were many opinions among different writers and researchers in expressing this concept.
some have defined corporate governance as a set of contractual relationships between corporate management, shareholders, and stakeholders throughout the procedures and methods used to manage the company's affairs and to guide its business in order to ensure performance development, disclosure, transparency and accountability, maximizing the long-term benefit of shareholders, and taking into consideration the interests of different parties.
